Welcome to Gate Pass ("Gate Pass", "we", "our", "us" or the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of the Gate Pass mobile application, website, software, products, services, and all related features made available by Gate Pass.

Gate Pass is a digital community management platform designed to simplify and enhance the management of residential, commercial, mixed-use, and gated communities. The Platform enables residents, society administrators, committee members, security personnel, visitors, service professionals, property managers, and other authorised users to interact through a centralised digital ecosystem.

By accessing, downloading, installing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Community Guidelines, and any additional policies that may apply to specific services or features offered through the Platform.

If you do not agree with these Terms, you must not access or use the Platform.


2. Acceptance of These Terms

These Terms constitute a legally binding agreement between you and Gate Pass.

Your continued use of the Platform signifies your acceptance of these Terms and any future amendments published by Gate Pass.

Where additional services, subscriptions, marketplace offerings, or integrations are introduced, additional terms may apply. Such additional terms shall be incorporated into these Terms by reference.


3. About Gate Pass

Gate Pass is designed to help communities operate more efficiently by providing digital tools for:

  • Visitor and guest management.

  • Resident registration.

  • Society administration.

  • Security management.

  • Community announcements.

  • Emergency coordination.

  • Service provider marketplace.

  • Complaint and maintenance management.

  • Digital records and documentation.

  • Facility bookings.

  • Community engagement.

  • Society payments and premium services.

  • Other community management features introduced from time to time.


Gate Pass is a technology platform. Unless expressly stated otherwise, Gate Pass does not own, operate, or manage the societies using the Platform and does not replace the authority of society management committees or local governing bodies.


4. Eligibility

You may use Gate Pass only if you:

  • Are at least 18 years of age, or are using the Platform under the supervision of a parent, guardian, or authorized society representative where legally permitted.

  • Have the legal capacity to enter into binding agreements.

  • Provide accurate and truthful information during registration.

  • Use the Platform in compliance with applicable laws and these Terms.

Gate Pass reserves the right to suspend or terminate accounts that do not meet these eligibility requirements.


5. Account Registration

To access certain features, users may be required to create an account.

You agree to:

  • Provide complete and accurate information.

  • Keep your profile information updated.

  • Maintain the confidentiality of your login credentials.

  • Be responsible for all activities conducted through your account.

  • Notify Gate Pass immediately if you suspect unauthorized access.

Gate Pass may verify user identities using mobile verification, email verification, government-issued identification, society verification, or any other reasonable verification process.


6. Community Registration

Gate Pass allows any eligible individual to create and register a new residential or commercial community on the Platform.

Community creators are responsible for ensuring that the information submitted during registration is accurate and that they have the necessary authority or permission to represent the community where applicable.

Gate Pass may verify community details before enabling certain administrative features and reserves the right to suspend, reject, or remove communities that contain false, misleading, duplicate, or unlawful information.


7. Society Administration

Every community created on Gate Pass should maintain an adequate number of administrators to ensure smooth operations and continuity.

Administrators are responsible for:

  • Managing resident access.

  • Maintaining accurate community records.

  • Responding to emergencies.

  • Managing security permissions.

  • Posting official announcements.

  • Moderating community content where applicable.

Administrators must use their privileges responsibly and solely for legitimate community management purposes.


8. Platform Availability

Gate Pass aims to provide reliable and uninterrupted services. However, the Platform may occasionally become unavailable due to:

  • Scheduled maintenance.

  • Software updates.

  • Internet connectivity issues.

  • Third-party service failures.

  • Security incidents.

  • Force majeure events.

  • Technical upgrades.

Gate Pass does not guarantee uninterrupted availability and shall not be liable for temporary service interruptions beyond its reasonable control.


9. Updates to the Platform

Gate Pass continuously develops new features and improvements.

We reserve the right to:

  • Add or remove features.

  • Modify existing functionality.

  • Improve user interfaces.

  • Introduce premium services.

  • Change technical requirements.

  • Update security measures.

Certain features may become available only under paid subscription plans while core functionality may continue to be offered free of charge.


10. Changes to These Terms

Gate Pass may modify these Terms from time to time to reflect changes in applicable law, business operations, or Platform functionality.

Material changes will be communicated through the Platform or other appropriate communication channels where required.

Your continued use of the Platform after such changes become effective constitutes your acceptance of the revised Terms.

If you do not agree with the updated Terms, you should discontinue using the Platform.


11. User Accounts

To access certain features of Gate Pass, users may be required to create an account using a valid mobile number, email address, or any other authentication method supported by the Platform.

Users are responsible for ensuring that the information provided during registration is accurate, complete, and up to date. You agree not to impersonate another individual, create accounts using false information, or create multiple accounts for fraudulent or misleading purposes.

Gate Pass reserves the right to verify user identities whenever necessary to maintain the safety and integrity of the Platform.


12. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials.

You agree to:

  • Keep your login credentials secure.

  • Never share OTPs or verification codes with anyone.

  • Notify Gate Pass immediately if you believe your account has been compromised.

  • Log out from shared devices after use.

You remain responsible for all activities performed through your account until unauthorized access has been reported and reasonably verified by Gate Pass.


13. User Responsibilities

Every user is expected to use Gate Pass responsibly and respectfully.

By using the Platform, you agree to:

  • Provide truthful and accurate information.

  • Respect other residents, visitors, security personnel, and administrators.

  • Follow society rules and applicable laws.

  • Use Platform features only for their intended purpose.

  • Report emergencies responsibly.

  • Maintain the confidentiality of information accessible through the Platform.

  • Cooperate with Gate Pass and society administrators where reasonably required.

The Platform is intended to promote safer and better-managed communities. Users should always act in a manner that supports this objective.


14. Acceptable Use

Users may use Gate Pass only for lawful and legitimate purposes.

You may use the Platform to:

  • Register as a resident.

  • Invite visitors.

  • Approve guest entries.

  • Access community services.

  • Participate in community discussions where available.

  • Raise complaints.

  • Report emergencies.

  • Book facilities.

  • Use marketplace services.

  • Receive society announcements.

  • Access premium features where applicable.

All use must comply with these Terms and applicable laws.


15. Prohibited Activities

You must not use Gate Pass to:

  • Violate any applicable law or regulation.

  • Impersonate another person or organization.

  • Submit false visitor requests.

  • Upload fake documents or identities.

  • Harass, threaten, abuse, or intimidate others.

  • Spread misinformation or false emergency reports.

  • Interfere with the operation of the Platform.

  • Attempt unauthorized access to accounts or systems.

  • Upload malicious software, viruses, or harmful code.

  • Collect or scrape user information without authorization.

  • Misuse administrator privileges.

  • Circumvent security measures.

  • Promote illegal activities.

  • Use the Platform for fraudulent purposes.

  • Disrupt community operations.

  • Infringe the intellectual property rights of others.

Gate Pass may investigate suspected misuse and take appropriate action, including suspension, termination, or reporting to relevant authorities.


16. False Emergency Reporting

Emergency features are intended solely for genuine situations requiring immediate attention.

Users must not intentionally submit false or misleading emergency reports, including but not limited to:

  • Medical emergencies.

  • Fire emergencies.

  • Security threats.

  • Missing person alerts.

  • Any future emergency categories introduced by the Platform.

False emergency reporting may:

  • Delay assistance to genuine emergencies.

  • Cause unnecessary panic.

  • Misuse community resources.

  • Endanger public safety.

Gate Pass reserves the right to suspend or permanently terminate accounts found to have intentionally abused emergency features and may cooperate with law enforcement where required.


17. Community Standards

Gate Pass is built on trust, respect, and responsible participation.

Users are expected to:

  • Treat others respectfully.

  • Communicate professionally.

  • Respect cultural and community diversity.

  • Avoid abusive language.

  • Respect privacy.

  • Support a safe and inclusive environment.

Society administrators may establish additional community guidelines that apply within their respective communities, provided they do not conflict with applicable law or these Terms.


18. User-Generated Content

Certain features of the Platform allow users to submit or publish content, including announcements, comments, photographs, documents, reviews, marketplace listings, complaints, and other materials.

You retain ownership of the content you submit.

By uploading content to Gate Pass, you grant Gate Pass a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute such content solely for the purpose of operating, improving, and providing the Platform.

You are solely responsible for ensuring that any content you upload:

  • Is accurate.

  • Does not violate the rights of others.

  • Does not contain unlawful, defamatory, abusive, or misleading material.

  • Does not infringe intellectual property rights.

Gate Pass reserves the right to remove content that violates these Terms or applicable law.


19. Marketplace Conduct

Where users engage with service professionals through the Gate Pass Marketplace, all parties are expected to conduct themselves honestly and professionally.

Residents should provide accurate service requests, while service professionals should provide truthful information regarding their qualifications, pricing, and availability.

Reviews and ratings should reflect genuine experiences and must not be manipulated, fabricated, or used to unfairly damage another person's reputation.

Gate Pass may remove fraudulent reviews, suspend marketplace access, or take other appropriate action where misuse is identified.


20. Suspension and Termination

Gate Pass reserves the right to suspend, restrict, or terminate any account, temporarily or permanently, where a user:

  • Violates these Terms.

  • Misuses Platform features.

  • Compromises community safety.

  • Engages in fraudulent or illegal activity.

  • Abuses emergency systems.

  • Repeatedly violates community guidelines.

  • Attempts to interfere with Platform operations.

Where appropriate, Gate Pass may provide notice before suspension. However, immediate action may be taken where necessary to protect users, communities, or the Platform.

Termination of an account does not relieve a user of any obligations or liabilities incurred prior to termination.

21. Community Creation

Gate Pass is built as an open community platform. Any eligible user may create and register a residential, commercial, mixed-use, or gated community through the Platform.

Community creators are responsible for providing accurate information during setup, including the community name, address, buildings, wings, units, and other relevant details.

Creating a community on Gate Pass does not automatically establish ownership or legal authority over that community. Gate Pass reserves the right to verify administrative rights where necessary and may transfer or modify administrative access where appropriate.


22. Society Administrators

Every community should maintain a minimum of three (3) active Society Administrators to ensure continuity of operations and emergency response.

Society Administrators are responsible for managing the day-to-day administration of the community, including:

  • Approving or managing resident access.

  • Managing security personnel.

  • Publishing official announcements.

  • Responding to emergency incidents.

  • Managing visitor policies.

  • Moderating community content.

  • Configuring community settings.

  • Managing service integrations.

  • Maintaining accurate community information.

Administrators are expected to exercise their privileges responsibly and solely for legitimate community management purposes.

Gate Pass may suspend or revoke administrative privileges where misuse is identified.


23. Residents

Residents are responsible for maintaining accurate profile information, including their unit details and contact information.

Residents may:

  • Register family members.

  • Invite visitors.

  • Approve or reject visitor requests.

  • Receive society announcements.

  • Report emergencies.

  • Raise complaints or maintenance requests.

  • Access community facilities where available.

  • Use the Gate Pass Marketplace.

  • Participate in community features made available by the society.

Residents must ensure that visitor invitations and information submitted through the Platform are accurate and lawful.


24. Security Personnel

Gate Pass provides dedicated tools for security personnel to manage visitor access and support community safety.

Depending on permissions granted by the society, security personnel may:

  • Verify visitor entries.

  • Record visitor exits.

  • Scan QR codes or visitor passes.

  • View approved visitor information.

  • Respond to emergency alerts.

  • Manage delivery entries.

  • Contact residents for visitor confirmation.

  • Maintain entry and exit records.

Security personnel must only access information necessary for performing their assigned duties.


25. Visitor Management

Gate Pass enables digital visitor management to improve convenience and community security.

Visitors may be:

  • Invited in advance by residents.

  • Approved at the security gate.

  • Verified using QR codes, OTPs, or other supported methods.

  • Logged upon entry and exit.

Societies may configure visitor policies according to their operational requirements.

Gate Pass does not independently verify every visitor and is not responsible for the conduct or identity of visitors beyond the verification processes implemented by the respective community.


26. Visitor Responsibility

Visitors entering a community through Gate Pass are expected to comply with:

  • Applicable laws.

  • Society rules.

  • Security procedures.

  • Instructions provided by security personnel.

Visitors may be denied entry where:

  • Required approvals are not obtained.

  • Incorrect information is provided.

  • Community policies are not satisfied.

  • Security concerns arise.

The final decision regarding visitor access remains with the society or its authorized representatives.


27. Community Announcements

Society administrators may publish official announcements through the Platform.

Announcements may include:

  • Maintenance schedules.

  • Water or electricity interruptions.

  • Community meetings.

  • Emergency notices.

  • Festival information.

  • Security advisories.

  • Policy updates.

  • Community events.

Residents should rely only on announcements published by authorized administrators for official community communications.


28. Complaints and Maintenance Requests

Residents may use the Platform to report maintenance issues, complaints, or community concerns.

Examples include:

  • Water leakage.

  • Electricity issues.

  • Lift breakdowns.

  • Housekeeping concerns.

  • Parking disputes.

  • Security complaints.

  • Noise complaints.

  • Common area maintenance.

  • Facility-related issues.

Gate Pass acts as a communication platform to facilitate reporting and tracking. Unless expressly agreed, Gate Pass is not responsible for resolving or performing maintenance services.


29. Emergency Features

Gate Pass provides emergency coordination features, including Medical SOS, Fire SOS, Security SOS, and any future emergency services introduced by the Platform.

Emergency features are intended solely to improve communication and coordination within the community.

Gate Pass does not provide emergency response services, firefighting services, law enforcement services, or medical treatment.

Residents should always contact the appropriate emergency services whenever immediate assistance is required.


30. Community Marketplace

Gate Pass may provide a marketplace connecting residents with verified or registered service professionals.

Services may include:

  • Electricians.

  • Plumbers.

  • Housekeeping.

  • Home cleaning.

  • Pest control.

  • Appliance repair.

  • Healthcare professionals.

  • Tutors.

  • Fitness trainers.

  • Local businesses.

  • Other community-related services.

Gate Pass may charge service fees, commissions, subscription fees, or convenience fees for certain marketplace transactions.

Gate Pass acts as a technology platform facilitating connections between users and service providers and is not a party to the service agreement between them unless expressly stated.


31. Ratings and Reviews

Residents may rate and review service professionals based on genuine experiences.

Similarly, service professionals may receive performance ratings based on completed work.

Reviews must be:

  • Honest.

  • Accurate.

  • Respectful.

  • Based on actual interactions.

Gate Pass reserves the right to remove reviews that are fraudulent, abusive, defamatory, misleading, or otherwise violate these Terms.


32. Gate Pass Ambassador Programme

Gate Pass may introduce community recognition programmes, including the Gate Pass Ambassador Programme, to encourage positive participation and community engagement.

Ambassador status may be awarded based on factors such as:

  • Community participation.

  • Helpful contributions.

  • Positive conduct.

  • Verified profile information.

  • Consistent adherence to community guidelines.

  • Other criteria determined by Gate Pass.

Ambassador recognition does not create any employment, agency, partnership, or contractual relationship with Gate Pass.

Gate Pass may modify, suspend, or withdraw Ambassador status at its discretion.


33. Premium Features

Gate Pass will continue to offer core community management features free of charge.

Additional premium features, enterprise tools, enhanced analytics, advanced automation, integrations, administrative controls, or other optional services may be offered under paid subscription plans.

Gate Pass reserves the right to introduce, modify, discontinue, or update premium offerings at any time.


34. Advertisements and Sponsored Content

To support the free availability of the Platform, Gate Pass may display advertisements, sponsored listings, promotional campaigns, and recommended local businesses within certain areas of the application.

Advertisements may be tailored based on general factors such as location, community, language preferences, or Platform usage.

Gate Pass does not sell users' personal information to advertisers.

Advertisements will not interfere with emergency features or critical community notifications and will be clearly distinguishable from official community communications.

Users may be offered premium plans with reduced or ad-free experiences where available.


35. Community Independence

Each society or community using Gate Pass operates independently.

Gate Pass provides digital tools to facilitate communication and administration but does not manage the internal affairs, governance, financial decisions, elections, disputes, or policies of any community unless expressly agreed through a separate written arrangement.

Decisions made by society administrators remain the responsibility of the respective community.


36. Free Platform

Gate Pass is built on a community-first approach. The core features of the Platform are available free of charge, allowing any eligible user to create, join, and manage a residential or commercial community without paying a subscription fee.

Free features may include, depending on the services offered:

  • Community creation.

  • Resident registration.

  • Visitor management.

  • Security access management.

  • Community announcements.

  • Emergency SOS features.

  • Basic complaint management.

  • Basic marketplace access.

  • Standard community administration tools.

Gate Pass reserves the right to determine which features are included in the free version of the Platform.


37. Premium Services

Gate Pass may introduce optional premium features designed for larger communities, housing societies, builders, commercial properties, enterprises, or users requiring enhanced functionality.

Premium features may include:

  • Advanced administrator controls.

  • Automation tools.

  • Advanced visitor workflows.

  • Enhanced reporting and analytics.

  • API integrations.

  • Smart device integrations.

  • Additional storage.

  • Custom branding.

  • Advertisement-free experience.

  • Enterprise support.

  • Future premium services introduced by Gate Pass.

Premium services are entirely optional and do not affect access to the core free version unless expressly stated.


38. Subscription Plans

Premium features may be offered through monthly, quarterly, annual, or other subscription plans.

Subscription details will be displayed before purchase and may include:

  • Pricing.

  • Billing frequency.

  • Included features.

  • Renewal terms.

  • Applicable taxes.

  • Cancellation terms.

Subscriptions may automatically renew unless cancelled before the renewal date, where permitted by the applicable app store or payment provider.


39. Payments

Payments made through Gate Pass may be processed by authorised third-party payment service providers.

Users agree to provide accurate billing information and authorise Gate Pass or its payment partners to process payments for:

  • Premium subscriptions.

  • Marketplace transactions.

  • Convenience fees.

  • Service fees.

  • Other paid services available on the Platform.

Applicable taxes, including GST, may be charged where required by law.


40. Marketplace Transactions

The Gate Pass Marketplace connects residents with independent service professionals and local businesses.

Gate Pass may facilitate:

  • Service discovery.

  • Bookings.

  • Payments.

  • Ratings and reviews.

  • Customer support.

Unless expressly stated otherwise, the contract for the actual service is between the resident and the service provider.

Gate Pass acts as a technology platform facilitating these transactions and is not responsible for the execution, quality, safety, legality, or outcome of services provided by independent professionals.


41. Service Provider Responsibilities

Service professionals using Gate Pass agree to:

  • Provide accurate business information.

  • Maintain all licences, registrations, and qualifications required by applicable law.

  • Deliver services professionally.

  • Honour confirmed bookings where reasonably possible.

  • Maintain respectful conduct with residents.

  • Comply with all applicable laws and community rules.

Gate Pass may suspend or remove service providers who repeatedly receive legitimate complaints or violate these Terms.


42. Fees and Commissions

Gate Pass may charge service providers, businesses, or users one or more of the following:

  • Subscription fees.

  • Listing fees.

  • Marketplace commissions.

  • Convenience fees.

  • Transaction processing fees.

  • Lead generation fees.

  • Promotional advertising fees.

  • Premium placement fees.

The applicable fees will be disclosed before they become payable.

Gate Pass reserves the right to modify its pricing structure by providing reasonable notice where required.


43. Advertisements and Sponsored Listings

To support the free version of the Platform, Gate Pass may display advertisements, sponsored listings, promoted businesses, and local offers.

Sponsored listings may appear within the marketplace or other designated sections of the Platform and will be clearly distinguishable from standard listings.

Placement of sponsored content does not constitute an endorsement or guarantee by Gate Pass.


44. Refunds

Refund eligibility depends on the nature of the purchase.

Unless otherwise required by applicable law:

  • Subscription fees are generally non-refundable once the subscription period has commenced.

  • Marketplace refunds are subject to the policies of the relevant service provider unless Gate Pass expressly agrees otherwise.

  • Transaction fees charged by payment processors may be non-refundable.

Where Gate Pass determines that a refund is appropriate, it will generally be processed through the original payment method.


45. Promotional Offers

From time to time, Gate Pass may offer:

  • Promotional pricing.

  • Discount codes.

  • Referral rewards.

  • Trial subscriptions.

  • Limited-time offers.

  • Loyalty programmes.

Promotions may be subject to separate eligibility criteria and may be modified or withdrawn at any time unless otherwise stated.


46. Taxes

Users are responsible for paying all applicable taxes associated with purchases made through the Platform.

Where required by law, Gate Pass may collect and remit applicable taxes, including Goods and Services Tax (GST), on eligible transactions.

Service providers remain responsible for complying with their own tax obligations arising from services provided through the Platform.


47. Third-Party Payment Providers

Payments may be processed through third-party payment gateways or financial institutions.

Gate Pass does not store complete credit card or debit card information and is not responsible for failures, delays, or interruptions caused by third-party payment providers.

Users are also subject to the terms and conditions of the relevant payment provider.


48. Future Commercial Services

Gate Pass reserves the right to introduce additional commercial offerings, including:

  • Enterprise solutions.

  • White-label platforms.

  • Builder and developer solutions.

  • Community management software.

  • Insurance partnerships.

  • Financial products.

  • Smart home integrations.

  • IoT-enabled community services.

  • AI-powered automation.

  • Any other services that enhance community living.

Where such services involve additional terms, those terms will be presented before the user accesses or purchases the relevant service.


49. Intellectual Property

Unless otherwise stated, all intellectual property rights relating to the Gate Pass Platform are owned by or licensed to Gate Pass.

This includes, but is not limited to:

  • The Gate Pass name, logo, and branding.

  • Mobile applications and website.

  • Software and source code.

  • User interface and design.

  • Graphics, icons, illustrations, and layouts.

  • Databases and platform architecture.

  • Artificial Intelligence models and automation workflows.

  • Documentation and product content.

  • Features, functionality, and future enhancements.

These rights are protected under applicable intellectual property laws.

Nothing in these Terms transfers ownership of any intellectual property to users.


50. Limited Licence

Subject to these Terms, Gate Pass grants users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purpose.

Users may not:

  • Copy or reproduce the Platform.

  • Modify or create derivative works.

  • Reverse engineer or decompile the software.

  • Remove copyright or proprietary notices.

  • Resell or commercially exploit the Platform without written permission.

  • Use automated tools to scrape Platform data.

  • Attempt to access restricted systems or APIs.

Any unauthorised use immediately terminates this licence.


51. User Content

Users retain ownership of the content they upload to Gate Pass.

By submitting content to the Platform, users grant Gate Pass a worldwide, non-exclusive, royalty-free licence to host, process, store, display, reproduce, and distribute such content solely for the purpose of operating, maintaining, improving, and promoting the Platform.

Users represent that they have the necessary rights to upload such content and that it does not infringe the rights of any third party.


52. Platform Availability

While Gate Pass aims to provide a reliable service, we do not guarantee that the Platform will always operate without interruption, delay, or error.

The Platform may occasionally be unavailable due to:

  • Scheduled maintenance.

  • Technical upgrades.

  • Network failures.

  • Internet outages.

  • Third-party service interruptions.

  • Cybersecurity incidents.

  • Force majeure events.

We will make reasonable efforts to restore services as quickly as practicable.


53. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, Gate Pass does not warrant that:

  • The Platform will be uninterrupted or error-free.

  • All defects will be corrected immediately.

  • The Platform will meet every user's specific requirements.

  • Information provided by users will always be accurate or complete.

  • Marketplace services will meet user expectations.

  • Emergency responders, volunteers, or service providers will always be available.

Users acknowledge that use of the Platform is at their own risk.


54. Emergency Services Disclaimer

Gate Pass is a technology platform designed to facilitate communication and coordination during emergencies.

Gate Pass:

  • Is not an emergency response provider.

  • Is not a medical service provider.

  • Is not a law enforcement agency.

  • Is not a firefighting authority.

  • Does not monitor emergencies continuously.

  • Does not guarantee emergency response times.

  • Does not guarantee that emergency alerts will always be received or acted upon.

Users should immediately contact the appropriate emergency services whenever urgent assistance is required.

The Platform should be regarded as a supplementary coordination tool and not a substitute for professional emergency services.


55. Limitation of Liability

To the fullest extent permitted by law, Gate Pass, its directors, employees, affiliates, partners, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

  • Use or inability to use the Platform.

  • Community disputes.

  • Decisions made by society administrators.

  • Visitor access decisions.

  • Marketplace transactions.

  • Service provider conduct.

  • Emergency incidents.

  • Loss of profits, revenue, data, or business opportunities.

  • Third-party system failures.

  • Delays caused by external service providers.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.


56. Indemnity

You agree to indemnify and hold harmless Gate Pass, its directors, employees, affiliates, licensors, and partners from any claims, losses, damages, liabilities, costs, or expenses arising out of:

  • Your use of the Platform.

  • Your breach of these Terms.

  • Your violation of applicable laws.

  • Your infringement of the rights of another person.

  • Content uploaded by you.

  • Misuse of emergency features.

  • Fraudulent or unlawful activities conducted through your account.


57. Suspension and Termination

Gate Pass may suspend, restrict, or permanently terminate access to the Platform where a user:

  • Violates these Terms.

  • Provides false information.

  • Misuses community features.

  • Abuses emergency systems.

  • Engages in unlawful activity.

  • Harasses or threatens other users.

  • Compromises the security or integrity of the Platform.

Gate Pass may take immediate action where necessary to protect users or the Platform.


58. Force Majeure

Gate Pass shall not be liable for delays or failures resulting from events beyond its reasonable control, including but not limited to:

  • Natural disasters.

  • Floods.

  • Earthquakes.

  • Fires.

  • Epidemics or pandemics.

  • Government actions.

  • Internet outages.

  • Telecommunications failures.

  • Labour disputes.

  • Acts of terrorism.

  • Civil unrest.

  • Cyberattacks affecting third-party infrastructure.


59. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of India.


60. Dispute Resolution

In the event of any dispute arising from these Terms or the use of the Platform, the parties agree to first make reasonable efforts to resolve the matter amicably through discussion.

If the dispute cannot be resolved, it shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the registered office of Gate Pass, unless otherwise required by applicable law.


61. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.


62. Waiver

Failure by Gate Pass to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available under these Terms or applicable law.


63. Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, and any feature-specific policies published by Gate Pass, constitute the entire agreement between you and Gate Pass regarding your use of the Platform.
